Terms of Service

1. Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "user") and the operator of TokenEyez ("we", "us", "our", "TokenEyez"). By installing the TokenEyez browser extension, creating a TokenEyez account, or using the TokenEyez website at tokeneyez.tre-lab.com, you agree to these Terms in full. If you do not agree, please do not install or use the service.

2. The service

TokenEyez is a Chrome browser extension and accompanying web service that:

• Tracks token usage and estimated cost across third-party AI platforms (Claude, ChatGPT, Gemini, Perplexity) by reading API metadata exposed in your browser
• Provides a unified dashboard showing your usage across platforms and devices
• Offers an optional, user-triggered "Prompt Intelligence" (Rephrase) feature that analyzes a prompt for efficiency
• Optionally tracks utilization against AI subscriptions you declare (Per-Platform Plan Tracking)

TokenEyez is not affiliated with, endorsed by, or sponsored by Anthropic, OpenAI, Google, or Perplexity. We use the publicly accessible web interfaces of those platforms to read response metadata for the user. We are not responsible for changes those platforms make to their interfaces or APIs that may affect TokenEyez's functionality.

3. Eligibility

You must be at least 16 years old to use TokenEyez. By using the service you represent that you meet this requirement. If you are using TokenEyez on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Subscription tiers and pricing

• Free — Always free. Live token counter, basic dashboard, 3 prompt analyses per day, 7 days of raw event history.
• Pro — US$8.99 per month, billed via Paddle. Up to 30 prompt analyses per day, cross-device sync, 3 years of raw event history (daily aggregates retained indefinitely while the subscription is active), MCP server access, per-platform subscription tracking with email alerts, and priority support.
• Top-up packs — One-time purchases of additional analysis credits ($5 / 400, $15 / 1,500, $40 / 5,000). Available to Pro users. Credits never expire and stack with the daily Pro allowance.
• Teams — Custom pricing. Contact tokeneyezofficial@gmail.com.

Prices may change with at least 30 days' advance notice via email to active subscribers. Existing subscribers retain their current price for the remainder of the current billing period in which the change is announced.

5. Billing and payments

All payments are processed by Paddle.com Market Limited as our Merchant of Record. Paddle is responsible for collecting and remitting applicable taxes (VAT in the EU/UK, sales tax in applicable US states, GST elsewhere) and for issuing receipts. By subscribing you agree to Paddle's Checkout Buyer Terms.

Subscriptions auto-renew at the end of each billing period unless canceled. You can cancel at any time via the Paddle Customer Portal accessible from the TokenEyez extension popup or web dashboard, or by emailing us. Cancellation takes effect at the end of the current billing period.

6. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms. In short: 14-day no-questions-asked refund on your first Pro subscription; prorated refunds for service issues thereafter; top-up credits are non-refundable once any portion has been consumed.

7. Acceptable use

You agree not to:

• Reverse-engineer, decompile, or disassemble the service to extract paid features or bypass usage limits
• Use the service in any way that violates the terms of use of any third-party AI platform you connect
• Resell, sublicense, or redistribute access to the service without our prior written permission
• Use the service for any unlawful purpose, including circumventing sanctions or evading taxes
• Attempt to gain unauthorized access to other users' accounts, the TokenEyez backend, or any related infrastructure
• Use automated tools (bots, scrapers) against TokenEyez beyond what the extension itself does on your behalf
• Submit content through the Rephrase feature that is illegal, threatening, defamatory, or that you do not have the right to submit

8. Intellectual property

The TokenEyez software, the website design, the brand mark, and all related materials are the intellectual property of TokenEyez and its licensors. We grant you a personal, non-exclusive, non-transferable, revocable license to use the software for the purpose described in these Terms, subject to the subscription tier you have. This license terminates if you breach these Terms or close your account.

You retain all rights to the prompts, conversations, and content you create on third-party AI platforms. TokenEyez does not claim any ownership over your content.

9. Privacy

Your use of TokenEyez is governed by our Privacy Policy, which forms part of these Terms. In summary: we read only API metadata (token counts, model names, timestamps) — never the content of your prompts or AI responses — and we do not sell, trade, or rent your personal information.

10. Service availability

We aim for 99.5% monthly uptime but make no guarantee of uninterrupted service. The service may be temporarily unavailable for scheduled maintenance, software updates, or issues with third-party providers we depend on (including Anthropic, Vercel, Supabase, Paddle, and the AI platforms whose interfaces we observe).

If a third-party AI platform changes its interface in a way that breaks TokenEyez tracking on that platform, we will work to restore functionality as quickly as reasonably possible but cannot guarantee a fix or any specific timeframe.

11. Disclaimers

Token counts, cost estimates, and per-platform utilization percentages displayed by TokenEyez are approximations based on publicly available pricing and either real API responses (when exposed) or local tokenizer estimates. Do not rely on TokenEyez for invoicing, accounting, tax filing, or any other critical financial or business decision. Always verify against the official billing dashboards of your AI providers.

TokenEyez is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the service will be error-free or uninterrupted.

12. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall TokenEyez, its operator, or its service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, arising out of or in connection with your use of the service, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total cumulative liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) US$50.

13. Indemnification

You agree to indemnify, defend, and hold harmless TokenEyez from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your violation of these Terms, your misuse of the service, or your violation of any third-party rights.

14. Suspension and termination

You may stop using the service at any time. To delete your account and all associated data, email tokeneyezofficial@gmail.com; we delete within 30 days.

We may suspend or terminate your account, with or without notice, if you violate these Terms, if your account becomes a security or legal risk, or if required by law. Where suspension is not the result of your breach, Pro subscribers receive a pro-rata refund of their unused subscription period.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the service before the effective date.

16. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the service shall be resolved exclusively in the competent courts of Tel Aviv-Yafo, Israel, except where prohibited by mandatory consumer-protection law of your country of residence.

17. Severability and waiver

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

18. Entire agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and TokenEyez regarding the service and supersede all prior agreements or understandings.
